1. Introduction

The Terms above apply to the Platform and are binding when you access or use any of its features.

2. Acceptance of Terms

By visiting, registering for, or using the Platform, you confirm that you have read and agree to these Terms and referenced policies. We may update the Terms periodically; continued use after changes constitutes acceptance.

3. Definitions and Scope

• Healthcare Professional (HCP): Licensed clinician using the Platform to search trials, create a profile, or receive information.
• Sponsor: Company, organization, or academic institution that manages/funds a trial and may list trials, update details, or interact with HCPs and sites.
• Hospital Department: Unit using the Platform to manage pipelines, recruitment, or sponsor interactions.
• Patient/Interested Individual: Person accessing public trial information for informational purposes only.
• User: Any person or entity using the Platform.
• Content: All information, data, text, graphics, images, or materials made available on the Platform.

4. Description of the Platform and Services

The Platform aggregates trial information from public registries including the EU CTIS and ClinicalTrials.gov, and provides tools to search, view, and manage trials.

Depending on your role, you may:

• HCPs: Create an account, search trials, set preferences, receive notifications, and optionally share profile data with sponsors.
• Sponsors: Create sponsor accounts (subject to license terms), list and update trial details, access aggregated registry data, and contact HCPs/departments with consent.
• Hospital Departments: Manage study portfolios, track recruitment, and respond to feasibility requests.
• Patients/Interested Individuals: Access public trial information for general awareness.

Disclaimer on Registry Data: The Platform displays data imported from public registries. We do not create or validate this content and cannot guarantee that registry data is accurate, up to date, or complete. Registry information may contain errors, omissions, or delays beyond our control, and Esperity is not responsible for such inaccuracies. The Platform is for informational purposes only and does not constitute medical advice, feasibility approval, or sponsor commitment.

5. User Accounts and Registration

Certain features require registration. You must be over 18, legally capable, and provide accurate details. You are responsible for safeguarding credentials and all activity under your account. We may suspend or terminate accounts for violations.

• HCPs: Free accounts; optional professional profile with visibility controls.
• Sponsors: Licensed accounts; subject to additional agreements and fees. Sponsors must ensure accuracy of trial details.
• Hospital Departments: Departmental accounts; subject to institutional agreements. Administrators must ensure only authorized staff access.

6. Use of Content and Data

Permitted use is limited to professional or informational purposes related to clinical research. Restrictions include:

• No commercial exploitation, redistribution, or derivative works without our written consent.
• No misrepresentation of affiliation or misuse of HCP/Sponsor data.
• No unlawful, abusive, or rights-infringing activities.

User-submitted content (e.g., sponsor trial updates, HCP profiles) remains your responsibility. By uploading, you grant us a non-exclusive license to process and display such content in line with Platform functionality.

7. Intellectual Property Rights

• Platform: The design, software, and self-created content are owned or licensed by Esperity. You may use information for private or non-commercial purposes with proper source acknowledgement. Unauthorized use may lead to civil or criminal liability.
• Registry Data: Information originating from CTIS, ClinicalTrials.gov, or other public registries remains subject to the rights, licenses, and disclaimers of the originating registry. Esperity does not own this content.
• Processing and Presentation: We own and retain rights in the processes, technology, databases, software, and presentation formats used to collect, enrich, structure, and display registry data (including search tools, filters, analytics, notifications, and visual layouts).
• User-Generated Content: You remain the owner but grant us a limited license to process, display, and distribute it within the Platform pursuant to these Terms and our Privacy Policy.
• Restrictions: You may not reproduce, redistribute, or commercially exploit registry data displayed on the Platform except as permitted by the source registries and these Terms. Any unauthorized use of our processes, tools, or presentation formats is prohibited.

8. Privacy and Data Protection

We process personal data as described in our Privacy Policy.

• Esperity as Controller: For account registration, notifications, and general Platform use.
• Esperity as Processor: When processing data strictly on behalf of Sponsors (e.g., feasibility requests, trial updates).

All processing complies with the GDPR; for non-EU HCPs, additional safeguards (including HIPAA-aligned standards for U.S.-based physicians) may apply.

9. Disclaimers and Limitation of Liability

• Registry Data Disclaimer: We cannot guarantee the accuracy, completeness, or timeliness of imported registry data and disclaim responsibility for reliance on such data.
• The Platform is provided “as is.” Access may be interrupted or contain errors.
• To the extent permitted by law, we exclude liability for direct or indirect damages (including loss of profits or business) arising from Platform use or reliance on registry or user-provided data.

Nothing in these Terms excludes liability for willful misconduct, gross negligence, or mandatory legal obligations.

10. External Links

Links to third-party websites are provided for convenience only. We have no control over, and disclaim liability for, their content.

11. Governing Law and Jurisdiction

These Terms, the Privacy Policy, and your use of the Platform are governed by Belgian law. Exclusive jurisdiction lies with the courts of Brussels.

12. Changes to Terms

We may amend these Terms at any time. Updates will be posted with a revised “last updated” date. Continued use constitutes acceptance.
